Agreement

These Terms of Service ("Terms") govern your use of Latch’s applications, websites, and related services (collectively, the "Services"). By downloading, accessing, or using the Services, you agree to these Terms.

The Services

Latch provides tools to configure boundaries on compatible devices. Features may change over time. Some functionality depends on platform permissions, operating system behavior, and network conditions. We do not guarantee uninterrupted availability or error-free operation.

Acceptable use

You agree not to:

• Use the Services in violation of applicable law or third-party rights
• Attempt to circumvent billing, authentication, or security controls
• Reverse engineer the Services except where prohibited limitations are unenforceable
• Use the Services to harass, harm, or surveil others without appropriate authority and consent

Accounts and eligibility

You must provide accurate information where registration is required. You are responsible for activity that occurs under your account. If you use Latch on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Subscriptions and billing

Paid features may be offered through app store platforms. Purchases are subject to the platform’s terms. Unless required otherwise, fees are non-refundable except as stated at purchase or required by law.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Internet filtering has inherent limitations; no solution can guarantee perfect enforcement in every scenario.

Limitation of liability

To the maximum extent permitted by law, Latch and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses. Our aggregate liability for claims arising out of the Services will not exceed the greater of (a) the amounts you paid to us for the Services in the twelve months before the claim or (b) one hundred U.S. dollars (USD $100).

Indemnity

You will defend and indemnify Latch against claims arising from your misuse of the Services, your violation of these Terms, or your violation of others’ rights, to the extent permitted by law.

Termination

We may suspend or terminate access to the Services for violations of these Terms or for operational reasons. You may stop using the Services at any time. Provisions that by their nature should survive will survive termination.

Governing law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless your jurisdiction requires otherwise. Courts in that jurisdiction have exclusive venue, unless applicable law prohibits such a choice. (Adjust for your company’s legal home before launch.)
